01. Introduction & Definitions
1.1These Terms of Use ("Terms") govern access to and use of the platform, technology, and related services (collectively, the "Services") provided by Revenue Brothers, Inc., a Delaware C-Corporation ("RevBros," "we," "us," or "our"). The Services include yield management, wrapper and header bidding technology, auction execution, ad serving integration, and related monetization tooling for digital publishers.
1.2These Terms apply to any account holder on the RevBros platform, including web and app publishers, and — subject to the conditions in Section 2 — agencies and resellers acting on behalf of inventory owners. The party accepting these Terms is referred to as the "Publisher," and any digital property submitted to the Services (whether a website, mobile application, or other digital surface) is referred to as a "Property."
1.3By creating an account, submitting a Property, or otherwise using the Services, the Publisher accepts these Terms and forms a binding agreement with RevBros. No countersigned contract or signature is required for these Terms to take effect; on Publisher's request, RevBros may issue a separate executed agreement, but the absence of one does not affect the enforceability of these Terms.
1.4The following capitalized terms have the meanings set out below; other capitalized terms are defined where they first appear:
- Account:the Publisher's registered account on the RevBros platform.
- Demand Partner:any third-party advertising exchange, supply-side platform, demand-side platform, ad network, or direct advertiser whose demand is made available through the Services.
- IVT:invalid traffic as defined by prevailing industry standards, including general invalid traffic ("GIVT") and sophisticated invalid traffic ("SIVT").
- Net Revenue:gross revenue received by RevBros from Demand Partners attributable to ads served through Publisher's Properties, less the pass-throughs and adjustments described in Section 8.
- Statement:the final monthly accounting issued by RevBros reflecting Net Revenue and Publisher's revenue share for the relevant calendar month.
- Tags:the JavaScript tags, SDKs, and any related code or modules made available by RevBros for integration into Properties.
